Neoclouds beyond CoreWeave: Nebius, IREN, the miners, Lambda, Crusoe, Nscale and the rest

Summary

  • The layer has a large financing footprint, but no comparable outstanding-debt total is established here. The cited listed-company figures sum to about $80.7bn including CoreWeave, mixing reporting dates, carrying amounts, principal and project-note subtotals. Later issuance and private facilities require separate drawdown and repayment reconciliations; the former >$110bn headline is withdrawn (row 39). Selective bank access remains open: Nebius disclosed a $3.5bn Citi facility on 22 October; TeraWulf raised committed revolver capacity by about $150m on 23 October. These are capacities, not verified cash draws (rows 7, 56).
  • Major technology buyers anchor substantial commitments. Nscale discloses Microsoft agreements up to $43.8bn; Nebius reports $17.4–19.4bn and IREN $9.7bn. Microsoft, Meta, OpenAI and Anthropic recur across the contracts, but their aggregate share is unmeasured; AMD, Nvidia and other customers also matter. Google support must be distinguished from the lessee's payment obligations (rows 5, 11, 16, 23–24, 29, 33, 47–48).
  • Sampled offers and new contracts show continued demand. Vendor rate cards and Nebius's reported $20–25m/MW annual contract pricing support that narrower conclusion. On 24 October, OCPI settled at $3.02/H100 SXM and $9.57/B200 per GPU-hour, respectively +8.6%/+12.9% over seven days; these indices measure transactions separately from advertised offers (row 55). Nebius's 22-month payback is a forward estimate. Advertised prices, aggregator medians and individual availability flags do not establish fleet-wide realised yields or universal sell-outs; prepayments are material, but no comparable time series establishes a growing share of capex (rows 8, 12–13, 34).
  • Operating performance varies, while returns after capital costs remain unproven. Nebius's Q2 adjusted EBITDA margins were 40.6% for the group and 49.7% for AI cloud, yet OCF less capex was negative $3.41bn. Landlord gross margins and NOI exclude different costs. TeraWulf already had HPC revenue, Cipher began Black Pearl rent in August, and Nscale disclosed a $199.2m H1 adjusted EBITDA loss. These figures do not establish a financially comfortable group or insolvency from debt/ARR alone (rows 2, 15, 18, 20, 22, 24, 40–43, 49–50).
  • The quoted equities have repriced sharply: about 45–70% below their quoted highs, with IREN and Cipher near their stated lows. Share prices in the four cited convertible examples are below the initial conversion prices; the notes retain cash repayment exposure if not converted. FT-reported bond weakness and Gartner's consolidation forecast are contemporaneous evidence, without establishing the cause of the equity moves; consolidation includes acquisitions and does not imply an equivalent default rate (rows 7, 9, 14, 25, 36–38, 51). Elice's 20 October debut fell 32%, closing at 61,500 won versus its 90,500 won offer after raising 201.1bn won/$151m; the reported Firmus investment discussions remain uncompleted and unverified. These add evidence of selective risk appetite, without establishing the same balance-sheet risk across firms (rows 53–54).
  • The biggest uncertainty is how construction, delivery, financing and contract remedies allocate losses. IREN's filings and Nscale's S-1 disclose material conditions, so blanket contract opacity is incorrect. Full deal economics and guarantee coverage remain incomplete; the amounts, activation and duration of each backstop require separate assessment (rows 23, 42–48).

Analysis

What the layer is. GPU clouds own servers and sell compute; converted miners increasingly lease powered shells; sovereign vehicles add a third financing model. Shared customers connect the layers: Core Scientific's secured notes depend on CoreWeave rent, while CoreWeave itself needs customer collections (rows 17, 38). The CSV is an inventory of differently measured exposures, not a consolidated balance sheet: its cited listed figures total about $80.7bn including CoreWeave, with incompatible dates and debt bases (row 39). Private commitments cannot simply be added to outstanding public debt.

Profitability and cash. Nebius's Q2 group adjusted EBITDA margin was 40.6%, while AI cloud earned 49.7%. OCF benefited from both deferred-revenue and receivables movements; the former is not gross prepayment collections. OCF less capex was negative $3.41bn, and capex was 9.72 times quarterly revenue (rows 2, 40). Its extension of server/network useful lives from four to five years affects accounting depreciation; adjusted EBITDA excludes that cost entirely (row 50). IREN's $4bn contracted versus ~$1bn operating ARR leaves a $3bn commissioning gap, rather than implying all contracted capacity is uncommissioned; ARR also includes ancillary services and assumptions, and debt/ARR is not debt-service coverage (rows 10, 12–13). The landlord metrics do not support a common comfort ranking: CORZ's approximately 59% colocation gross margin and APLD's 89.4% NOI on base rent measure different cost layers, before major group financing and capital costs. APLD's continuing-operations loss attributable to common shareholders was $221.0m; its fit-out revenue is not recurring rent (rows 15, 18). Hut's $10.4m adjusted EBITDA excludes digital-asset marks; including them it was negative $94.6m, and major AI deliveries remained prospective (row 24). TeraWulf already earned HPC revenue in Q2, and Cipher's business update says Black Pearl rent began in August (rows 22, 43). Their warrant charges are mostly noncash and do not directly measure burn (row 49). Nscale's public filing adds substantial operating and adjusted EBITDA losses to the comparison; it is no longer correct to say all private names disclose no margins (row 41).

How it is financed. Rated, secured, amortising facilities coexist with convertibles and equity issuance: Lambda, IREN and Nscale report contract-backed facilities, while Hut finances individual projects with nonrecourse bonds (rows 13, 24, 26, 29). These are distinct obligors and securities, not a layer-wide credit rating. IREN's Microsoft financing includes conditional parent recourse after qualifying termination and failed remarketing; Hut's separate parent revolver introduces secured parent obligations and a minimum-liquidity covenant even though it was undrawn at closing (rows 44, 47). Lambda's new facility draws against commissioning, and Nscale's Nvidia tranche was expected in November: neither full announcement is current cash received (row 45). Nebius’s Citi bridge and TeraWulf’s expanded revolver show selective new bank capacity despite market stress; their announced limits do not establish cash received. Nebius’s short maturity, increasing margin and minimum-liquidity covenant introduce refinancing and liquidity tests alongside that access (rows 7, 56). Nebius's March financing was counted twice in the draft; its August financing also exchanged older debt for equity (row 7). Share prices in the four cited convertible examples are below their initial conversion prices. The notes are already debt and retain cash repayment exposure if not converted. Nebius's two August series have different accreted maturities, $3.795bn in 2030 and $2.875bn in 2034 before coupons (rows 7, 51). Customer prepayments are material financing, with possible refund obligations; the observations do not establish a rising layer-wide time series (rows 8, 13, 47).

Customer concentration and contract conditions. Microsoft, Meta, OpenAI and Anthropic recur across large commitments, without a quantified denominator for “almost all.” Nscale's current Microsoft ceiling raises the three named Microsoft contract figures to $70.9–72.9bn, subject to conditions and disclosure dates; this is not earned revenue. AMD's Core Scientific partnership and Nvidia's IREN contract are material additional relationships (rows 16, 33, 47). Meta's up-to-$15bn residual-capacity commitment supports Nebius after sales to other customers; those sales cannot also be counted as additive Meta revenue (row 5). Nscale disclosed no binding financing commitments for its Anthropic agreements at its prospectus date, alongside delivery, service and termination conditions; the September statement should not be projected unchanged into October (row 42). IREN's public delivery, cure, termination and refund provisions likewise refute blanket opacity (row 47). At Cipher, higher Barber Lake nominal TCV comes with phased delivery and substantial overrun funding before reimbursement over the lease term (row 43). Google support is larger than the draft implied, but its project scope, activation and duration matter: TeraWulf's Lake Mariner support differs from the disposed Abernathy interest, and Cipher's original support does not establish full extended-term coverage (rows 23, 48).

A possible stress transmission, not a universal loss order. A demand pause could depress merchant rental yields, reduce new contracting and weaken collateral or refinancing. Which channel binds first depends on delivery obligations, liquidity, maturities, covenants and guarantees. Landlords also bear construction risk before rent begins, as Cipher illustrates (row 43); prospective Muskie power adds future development optionality rather than delivered lease revenue (row 46). CORZ and TeraWulf carry liabilities for warrants on their own equity, not portfolios of the alleged counterparty warrants (row 49). Equity dilution, convertible repayment, GPU-loan recovery and project-bond recovery must be modeled by obligor; guarantees may pay before bondholders suffer losses. There is no demonstrated sequence in which backstop providers always lose after creditors. FT-reported bond weakness is evidence of repricing, with marks unverified against primary trade records (row 36). Nvidia's Nscale investment was still expected, not funded, at the September announcement (row 45).

Pricing and aggregate returns. Management-reported new contracts and vendor rate cards show continuing demand in the sample (rows 8, 12, 34). Nebius's short-term premium deal was signed in early Q3; its 22-month payback is estimated from future costs and capacity. Mixed aggregator snapshots and model-specific availability cannot establish universal sell-outs, realised fleet yields or independently reproducible annual price changes. A spot quote below a median is not inherently contradictory; row 35 remains a weak tertiary underwriting claim. Gartner's cumulative revenue requirement concerns AI data-center owners broadly, and its IaaS forecast is not neocloud-only; loss of independence includes consolidation (row 37). Healthy sampled offers can coexist with inadequate returns after replacement capex, financing and dilution. Construction and financing remain the stronger evidenced concerns than an established broad rental-price collapse.

CoreWeave is covered in research/stack/coreweave.md. Here it matters as a major borrower and as the tenant behind CORZ and APLD rent streams (rows 17, 19, 38). Its quoted credit stress is a reported indicator; a covenant breach at another borrower requires evidence from the applicable agreement.

Conflicts and open questions

  • 25 October financing and pricing counterevidence. The weak Elice debut and Firmus talks in the prior update do not imply that bank access closed across the layer: Nebius’s newly disclosed Citi facility and TeraWulf’s revolver expansion demonstrate selective access, while exposing security, liquidity and refinancing obligations rather than proving funded cash or profitable returns (rows 7, 56). The 24 October OCPI prints also remain inconsistent with a broad rental-price-collapse claim. Silicon Data’s dated $2.88 card disagrees with its same-page $2.53 FAQ; the dated display is retained separately from OCPI, with weekend/publication-coverage limits explicit (rows 55, 57). Huang’s capital-scarcity view is supplier opinion, not a measured financing gap (row 58).

  • 21 October funding and pricing update. Elice's weak 20 October debut and the restricted Firmus funding report qualify continuing-funding evidence in the Summary; neither overturns verified IREN/Lambda/Nscale facilities or proves financing closed across the layer. The IREN figures re-fetched on 21 October were published on 27 August, and its estimated payback omits costs beyond its stated denominator. The new OCPI settlements show rising B200 rents alongside a weaker H100 seven-day change; they do not substantiate a universal rental-price collapse or supersede the different list-price series (rows 12–13, 52–55). The signals log's Breakingviews link returned an unrelated Australian M&A article on re-fetch and is not independent corroboration of Firmus.

  • Profitability judgement. The original note called Nebius and selected landlords “comfortable” and IREN/Cipher/TeraWulf “overextended.” The cross-check finds the split directionally plausible but the ranking unreliable: segment EBITDA, gross margin and NOI omit different costs, while commissioning gaps and debt/ARR do not establish insolvency. This revision retains the delivery and financing concern but leaves comfort after replacement capex, interest and dilution unproven (rows 18, 24, 40–41, 50).

  • Pricing judgement and changing snapshots. The original note inferred a sold-out market and reconciled the bearish spot claim with an asserted historical rebound. The reviewer supports continued demand only for sampled offers and contracts; neither the rebound narrative nor fleet yields is established. Its retrieved H100/B200 medians were $3.49/$7.95, versus $3.86/$7.99 on the later application fetch, while the weekly page gives H100 $3.51. These are different observations, not a verified price series; neither a below-median spot quote nor model-specific availability resolves market-wide stress (rows 34–35).

  • Contract-firmness judgement. The draft called almost all exposure dependent on four buyers, treated terms as wholly undisclosed and described Meta's residual capacity as simply optional. The reviewer finds concentration substantial but unquantified, with AMD, Nvidia and other customers omitted from that framing. The cross-check gives more weight to Meta's committed residual purchases and IREN/Nscale public remedies; it is also more concerned by Nscale's disclosed financing conditions. Corrected structures are recorded in rows 5, 42 and 47. Full economics, redactions and later financing updates still need deal-specific checks. Contracted TCV, renewal-inclusive potential revenue and operating ARR must remain separate; only part of IREN's contracted ARR is already operating.

  • Backstop scope and loss allocation. The original concern was that Google support might cover only initial tranches, accompanied by a proposed equity-to-lenders-to-guarantors crash sequence. The reviewer assigns more weight to disclosed support and rejects a universal creditor waterfall. Lake Mariner's disclosed $3.2bn support, separate $1.3bn historical Abernathy support and Cipher's initial $1.4bn cannot be combined into the draft's $1.8bn layer total; retained exposure after disposal, amortization and extended-term coverage remain open (rows 23, 48). Guarantee calls may precede creditor losses; covenant and recovery analysis is still required.

  • Debt headline and funding appetite. The draft presented a homogeneous June/current debt total and read new convertible issuance as stress. The reviewer sees a large footprint but mixed measures and dates, unverified private drawdowns, and continuing rated funding as counterevidence to a one-way crash narrative. Row 39 preserves the arithmetic audit without presenting it as current outstanding debt; row 45 separates delayed funding. Issue terms and uses of proceeds are needed to judge whether new funding relieves or exposes stress.

  • Bond marks and event causality. The draft's FT chain gave Hut 94/92c, Excalibur <88c, Hyperion <92c, CoreWeave <80c/~15% and Oracle Michigan 87c; the review's indexed FT syndication gives 93/91c, <87c, <91c, <75c/nearly 16% and 88c. Row 36 uses the latter, graded C, reported/unverified; version or timing differences remain unresolved without security identifiers and trade timestamps. The draft identified FT/Gartner as proximate causes of the equity sell-off; the reviewer finds contemporaneous coverage insufficient to establish causation.

  • Gartner's meaning. The original narrative leaned toward failure across the layer; the cross-check distinguishes consolidation and loss of independence from defaults, and the broader infrastructure revenue requirement from neocloud-only revenue. Gartner's own forecast is primary evidence of its model, not validation of the forecast or an independently reproducible model here (row 37).

  • Unverified capex. The reviewer did not locate the draft's APLD and TeraWulf capex claims in their cited releases. Those figures are excluded from the comparison rather than retained at grade A (rows 18, 22).

  • Unnamed tenants. APLD's non-CoreWeave campuses, Hut's Beacon Point tenant (Nvidia per unverified FT reporting), Nebius's secured-facility counterparty and Lambda's offtakers limit concentration measurement (rows 7, 19, 24, 26, 36). Public descriptions of credit quality do not identify ultimate end-users.

  • Crusoe financing and Lambda valuation. Crusoe's Abilene JV debt remains unverified and excluded from totals. Lambda's pre-IPO valuation and timing remain reported, unverified (rows 27–28, 39).
