Summary

  • On September 29, 2026, OpenAI reported 1.2bn weekly users, yet leaked 2025 accounts show a $20.9bn operating loss on $13.1bn revenue (RU); public evidence does not establish profitability after research and corporate costs (claims 5–9, 45).
  • September 2026 run-rate reportedly neared $50bn, versus earlier $68–70bn figures including partners' gross revenue. Q3 run-rate growth was reportedly 77%; these annualisations are unaudited, without a public gross/net reconciliation (claims 1–4).
  • Reported cumulative 2026–30 cash flow worsened from +$14bn in the Q1 2025 forecast to −$69bn in Q3 2025, −$179bn in February 2026 and a disputed −$278bn in September. Assuming the full $122bn round funds, ~$40bn end-2025 liquidity plus that round provides $162bn against February-projected 2026–28 burn of $167bn, implying exhaustion during 2028; Reuters/FT separately report that date. September 29’s ≥$30bn/$1.4tn pre-money talks and October 19’s ~$30bn/>$1.4tn proposal are earlier vintages. October 22 CNBC reports up to $30bn at $1.25tn pre-money, led by UAE investors/Coatue (RU); no close or cash receipt is established, and March’s $852bn post-money priced round remains the comparator. In April the CFO reportedly warned about compute affordability; she and Altman rejected the report (claims 4, 7–8, 52–53, 55).
  • On March 31, 2026, OpenAI announced $122bn committed at $852bn post-money. Amazon and SoftBank confirmed at least $80bn funded within that round by October 1; October unrestricted cash is undisclosed (claims 13, 28, 36, 42).
  • As of October 18, 2026, four distinct providers’ cloud contracts total ~$710bn nominal: Oracle $300bn RU, Azure $250bn, AWS $138bn and CoreWeave $22.4bn—~14× September’s reported run-rate, across different delivery periods extending beyond 2030. Chip plans and Stargate overlap these purchases. Nvidia’s August 2026 $105bn residual-value guarantee is contingent credit support (claims 16, 20–31, 39, 50).
  • On October 21, 2026, frontier models entered Google Cloud private preview with Codex integration; Marketplace purchases can draw down existing GCP commitments. General availability is planned in coming weeks. This broadens distribution without disclosing incremental sales or funding (claim 57).
  • The Foundation controls OpenAI Group PBC. Microsoft’s $24.1bn FY26 revenue from OpenAI equals ~114% of OpenAI’s reconstructed July 2025–June 2026 revenue of ~$21.2bn (RU), or ~94% after an illustrative historical revenue-share adjustment; Microsoft also disclosed a $6bn receivable at June 30, 2026 (claims 14, 19, 54).
  • The unresolved financing question is when contracted purchases—including the $250bn incremental Azure commitment announced October 28, 2025—become payable, compared with cash collections and unrestricted funding, net of delivery conditions and overlaps (claims 16, 41–42).

39 Revenue adequacy arithmetic Oracle $300bn/5 = $60bn/year = 120% of $50bn run-rate, not a payment schedule or 2026 bill; at assumed 33% margin, $50bn/$70bn yields $16.5bn/$23.1bn gross profit, not available cash; $32bn training implies ~$97bn revenue only if training is outside that margin on a comparable basis, before other overhead. Distinct-provider cloud headlines: 300+250+138+22.4 = $710.4bn (~14.2× September run-rate); different maturities extend beyond 2030; chip/Stargate headlines overlap. 40 Revenue-path sensitivity H1 2026 revenue $5.7bn+$6.7bn = $12.4bn RU; $70bn full-year sales would require $57.6bn in H2 (4.6× H1), so the exit run-rate target is not a defensible annual-sales base. The disputed $36bn plan would require $23.6bn H2 sales, broadly compatible with ~$50bn exit run-rate but not implied by it. A hypothetical $70bn 2027 annual base requires (350/70)^(1/3)−1 ≈71.0% annual growth to 2030; the plan’s $36bn 2026 base requires 76.6%. Analysis

The October 22 funding report lowers the proposed valuation from earlier talk while still implying a value above March’s priced round. It confirms negotiations rather than a signed round: even the full-size $1.28tn post-money comparison is hypothetical, and simultaneous UAE compute talks disclose no signed purchase amount. The financing dependence described above remains unresolved (claim 4). CNBC

Google Cloud’s October 21 private preview adds a procurement channel, including use of customers’ existing GCP commitments. It could reduce purchasing friction, but announced access does not quantify net new spending or OpenAI receipts. Microsoft remains the primary cloud partner (claim 57). OpenAI Google Cloud

Run-rate snapshots are not annual sales. The CFO retrospectively rounds the December figure; March monthly sales also differ from later quarterly revenue. September’s gross/net comparison does not establish lost customers: Reuters describes an Anthropic-comparable pro-forma figure, while CNBC reports continued growth (claims 1–3).

Subscriber, seat, throughput and advertising figures establish breadth, not retention or profit. The September 29 disclosure of 1.2bn weekly users is newer than the March total and strengthens the demand evidence, but does not supply a comparable measurement bridge or paid conversion. Workplace seats include more than Enterprise-plan seats; throughput is not API share. Menlo's modelled estimate comes from an Anthropic investor. Consumer leadership coexists with Anthropic’s reported quarterly revenue lead from Q2 2026 on a different gross basis; OpenRouter coverage also shows OpenAI regaining weekly API spend leadership after Astra on that platform alone. Neither comparison establishes total enterprise-market share (claims 32–35, 45, 56).

On September 29, 2026, OpenAI introduced Pro 500 at $500/month and GPT-6.1 Sol at $2/$10 per million input/output tokens, with $0.10 cached input, versus Astra's $10/$50 standard input/output prices. These changes may alter revenue per customer and per token: lower-priced models may expand usage or compress revenue per token, while premium tiers may improve monetisation. Those are inferences; realised ARPU, costs and margins are undisclosed, so user growth alone cannot establish the direction (claims 46–47).

Public evidence does not establish profitability after allocating training, research, free-tier inference and corporate costs; that absence does not prove every segment loses money. Paid-user compute margin is encouraging, but excludes costs outside that customer group. The reported adjusted gross margin is broader and still precedes major research expense. Neither is operating margin. Leaked cost-of-revenue figures imply 42.62% gross margin for 2025 and 28.38% for 2024, versus the separate adjusted series of 33% and 40%; no reconciliation is available. Attributable net loss includes financing/restructuring accounting and differs from consolidated net loss and cash burn. The full-year operating loss and retrospectively reported cash outflow demonstrate the distinction (claims 5–9, 44).

Secondary proceeds went to sellers. The SoftBank-led round arrived in stages and enlarged; the later announcement explicitly says committed capital. Amazon and SoftBank independently confirm at least $80bn funded within the 2026 round by October 1. The reported historical liquidity anchor is $73bn cash and marketable securities at March 31, versus $40bn at December 31. Receipts already included in that balance cannot be added again, nor can the full round be treated as additional cash. The separate Nvidia funding lead remains secondary and is excluded from the primary-confirmed minimum. These receipts and historical liquidity strengthen the financing evidence, but current unrestricted cash remains unreconciled (claims 10–13, 28, 36, 41–43).

OpenAI pays cloud providers for delivered services; those providers buy chips, lease buildings and finance construction. Oracle's reported dollar purchase obligation is stronger evidence than a capacity aspiration, but its full contract is unavailable. Microsoft's announcement explicitly says contracted Azure purchases. CoreWeave's initial order depends on delivery and availability; its aggregate ceiling is not cash presently due. AWS has expanded materially beyond the original headline, and its filing identifies chip-performance obligations. Cerebras distinguishes committed capacity from options and receives working capital from OpenAI. These are economically different obligations (claims 16, 20, 26–29).

Cerebras had already reduced the loan principal to $918.244m at June 30 through $86.327m of non-cash billings and other permitted credits against the $1,004.571m January advance. Its disclosed security covers the lockbox and related amounts, not a blanket claim on every asset. Customer terms can be shorter than its data-center commitments. Service offsets therefore show supply being delivered, while collateral scope and renewal risk affect OpenAI's recovery and Cerebras's residual-capacity exposure (claims 29, 49).

Chip roadmaps require additional care. AMD's signed purchase agreement and warrant align purchases with dilution incentives; the warrant is not cash financing. Broadcom announced a deployment term sheet alongside supply agreements, not a disclosed fixed-dollar cloud bill. Its later ramp does not prove that the whole programme was cut or cancelled: starting deployment and reaching scale are different milestones. The Nvidia LOI likewise cannot fund a solvency calculation at face value after Huang's revision (claims 21, 23–25).

Stargate encompasses overlapping sites, hardware and cloud partnerships. Counting its umbrella ambition, Oracle capacity and Nvidia hardware again counts parts of the same build repeatedly. Altman's aggregate is a management description without an auditable contract inventory (claims 30–31). An enforceable liability above a trillion dollars cannot be certified.

Supplier financing is nevertheless concrete. Amazon contributes equity while selling AWS services; Microsoft is investor, supplier and revenue-share recipient. CoreWeave gives customer equity; AMD offers a purchase-linked warrant. Nvidia supplies credit support that enables a landlord to finance facilities hosting Nvidia systems. Conversely, OpenAI lends to Cerebras to create supply. This circulation is real financing, not evidence that revenue is fictitious. The supplier-financed fraction is undisclosed.

The Nvidia guarantee deserves particular precision. It covers specified land, power and shell obligations, phases in when qualifying leases commence, declines with lease payments and ends on a satisfactory OpenAI credit rating, valid lease termination, each lease’s 20th anniversary or other customary events. SB Energy, a SoftBank affiliate, is the landlord. The first construction phase is expected in Nvidia fiscal 2029, not necessarily calendar 2029. It is neither an immediate disbursement nor all tenant liabilities. OpenAI says it starts paying for completed leased capacity; the landlord owns the facility. Nvidia's indemnification claim against OpenAI is weak protection in an insolvency scenario that triggers support, but its disclosed options include assuming leases, seeking replacement tenants or pursuing a sale. Recovery value can reduce loss; replacement demand and timing remain uncertain. The historical-precedents note's cap is verified, but does not measure expected cash loss (claims 22, 50; project statement).

Microsoft's RPO measures future supplier sales, not OpenAI customer revenue. The Azure commitment is already in that backlog. The Microsoft note's June concentration estimate assumes an unchanged OpenAI balance: growth outside frontier labs does not establish no consumption or renewal. Its related-party sales include revenue share; they are not a pure inference bill, but over overlapping periods they roughly equal OpenAI’s total revenue: $24.1bn versus ~$21.2bn reconstructed for July 2025–June 2026 (RU). The ~94–114% ratio depends on the illustrative historical share adjustment, while the $6bn receivable equals ~91 days of annual revenue, not a disclosed overdue balance (claim 54). Investment gains include recapitalisation effects, not just operations (claims 16–19).

On the February forecast, ~$40bn end-2025 cash/securities (RU) plus the entire $122bn round, if funded, provides ~$162bn against $167bn projected burn through 2028 and a $218bn peak cumulative need through 2029: a ~$56bn gap before positive cash flow in 2030. The disputed September plan raises the additional-funding illustration to ~$116bn (~$86bn if a $30bn round closes). These are conditional resource/burn comparisons, not cash-flow statements; the December starting balance avoids adding the round to a March balance that already includes receipts (claims 52–53). Oracle’s $60bn annual average remains a scale comparison rather than a payment schedule. At an assumed 33% margin, the reported $32bn training plan implies a ~$97bn revenue hurdle before overhead only if training is outside that margin on a comparable basis; gross profit is not cash available to spend. The same February source forecasts future adjusted margins of 52–67%: holding training fixed lowers that hurdle to $61.54bn–$47.76bn. This is a sensitivity, not evidence those margins arrive immediately or training stays fixed. Research compute already runs on supplier infrastructure, so adding training to all cloud purchases would double-count (claims 39, 51).

The reported $70bn year-end exit run-rate is not full-year 2026 revenue: H1 sales were $12.4bn (RU). The replacement scenario treats $70bn as hypothetical 2027 annual sales, requiring 71.0% yearly growth to $350bn in 2030; the disputed plan’s $36bn 2026 base requires 76.6%. March’s equity price implies 17.0× September run-rate; September 29 funding talks imply ~28× at $1.4tn pre-money. These mix valuation dates and annualised sales and are not EV/sales or trailing multiples (claim 40). The April CFO affordability warning and joint rebuttal show management’s financing position is itself contested (claim 55).

If OpenAI falls short, its shareholders absorb impairment or dilution. Oracle and CoreWeave risk receivables and financed capacity; lenders and landlords bear losses according to collateral and guarantees. SoftBank combined a $40bn bridge facility (repaid/cancelled by September 30) with senior notes announced September 24 for its final follow-on tranche. Its reported OpenAI-share loan target fell from $10bn toward $6bn in May and revived in July with a corporate guarantee (RU). Subsequent primary disclosure confirms $10bn drawn in August, due August 2028, secured by a cash collateral account with SoftBank recourse and OpenAI-value-linked collateral/prepayment triggers. Through SB Energy it is also landlord under Nvidia’s guarantee. Exposure therefore spans equity, borrowing and lease credit; applying the March private valuation to its October ~13% stake gives an illustrative ~$111bn mark against $64.6bn cost, without establishing a liquid collateral value (claims 22, 36, 50). Microsoft risks investment value, receivables and capacity, cushioned by diversification. Nvidia risks equity, orders and triggered guarantees; AMD risks orders and incentives. Broadcom risks custom-chip demand, inventory and any financing support actually signed. Oracle's customer hardware funding and replacement demand are meaningful offsets (claim 37).

The Foundation retains control through the PBC structure and overlapping boards. Conventional equity financing does not eliminate mission/commercial conflicts. Dependence on Altman's relationships is an inference from the board crisis, not a quantified finding. OpenAI's review attributed the crisis to lost trust and endorsed his return, without attributing it to financial misconduct (claims 14–15; review).

Execution risk also has a documented mechanism. On September 28, OpenAI described training safety-case recommendations involving senior-leadership vetoes, pause controls and monitoring, with implementation ongoing; its September 1 statement acknowledged delays to parts of Astra development/release while safeguards were strengthened. Research spending may therefore turn into revenue later than planned, an inference whose financial size is undisclosed. These statements do not establish a specific GPT-6.1 Astra withholding decision or customer-demand cancellations (claim 48).

Altman's funding case combines growth, new products, compute resale and further capital. Friar described guarantees lowering financing costs, then clarified her language; Altman rejected taxpayer support for private datacentres while acknowledging chip-factory guarantee discussions. Neither remarks nor Stargate's launch establish an effective taxpayer guarantee (claim 31; Reuters, clarification).

Conflicts and open questions

  • 2026-10-25 update — proposed price versus priced round: CNBC’s October 22 $1.25tn pre-money proposal supersedes the earlier >$1.4tn talk as the latest reported negotiation, without erasing either vintage. October 19 Reuters did not state a matching pre-/post-money basis. At the full proposed size, $1.25tn + $30bn = $1.28tn post-money is illustrative and remains above March’s $852bn post-money announcement; a lower proposal than earlier talk does not establish a completed down round. Amount, signatures, cash receipt and any related UAE compute obligation remain unverified (claims 4, 13). CNBC March company announcement

  • 2026-10-21 update — valuation and growth basis: September’s $1.4tn pre-money discussion and Reuters’ October 19 >$1.4tn proposal are different report vintages; the later article does not establish a matching valuation basis. Acceleration and named counterparties add financing-process evidence, not cash. Its $50bn/$70bn pitch repeats a run-rate and a target, leaving the earlier gross/net caveat intact. Google distribution adds access but no measured incremental revenue (claims 3–4, 57). Reuters OpenAI

  • Demand/accounting: Codex (October 17) described a September basis correction alongside growth. Claude (October 18) stresses Reuters’ explanation that ~$70bn was an Anthropic-comparable pro-forma figure, not a restatement on OpenAI’s own basis. Both interpretations are recorded; the fetched report supports a comparison-basis difference. Missing: audited partner bridge, comparable annual sales and collections (claims 3–4, 56; Codex, Claude).

  • Burn versus liquidity: as calculated October 18, February-projected 2026–28 burn of $167bn exceeds the ~$162bn resource illustration (~$40bn end-2025 liquidity RU + full $122bn round) during 2028; the $218bn peak need through 2029 leaves ~$56bn to raise. The disputed September plan implies ~$116bn additional funding, or ~$86bn after a hypothetical $30bn raise. Reuters/FT separately reported exhaustion by 2028 on September 18. Claude’s October 18 review regards that direct gap and worsening vintages as evidence of high financing fragility; Codex’s October 17 review stresses margin-definition uncertainty, confirmed receipts and historical liquidity. The direct gap calculation does not require a margin assumption. At least $80bn funded by Amazon/SoftBank by October 1 and reported March liquidity of $73bn are the counterweight, but overlap and cannot be added as October cash. A finance employee disputed the September plan; current unrestricted cash and a cash-flow bridge remain unavailable. Imminent insolvency is unsupported; under the February and disputed September paths, solvency through 2028 depends on further capital or a better cash-flow path. Claude’s broader “every vintage since Q3 2025” formulation is not established against the later $162bn resource base: Q3-2025 projected peak 2026–29 burn was $107bn and net 2026–30 burn $69bn. Both reviews’ judgements are retained with that arithmetic limit (claims 7–8, 13, 28, 36, 41–43, 52–53).

  • Margin definitions and inference: the original note treated the reported blended margin as demonstrating that inference margins cannot fund research/expansion. The cross-check regards this as conditional on period, product mix and cost allocation, not a timeless result. Leaked accounts imply 2024/2025 margins of 28.38%/42.62%, while February reporting gives adjusted margins of 40%/33% and forecasts 52–67%; paid-user compute margin is another metric. Both series are retained as C/RU, with no accounting bridge to establish comparable definitions. Profitable paid-user inference does not establish company-wide profitability; historical losses do not prove every segment loses money (claims 5–9, 39, 44, 51).

  • Growth baseline and grades: Codex (October 17) accepted $70bn hypothetical CY2026 sales and its 49.5% CAGR as valid scenario arithmetic, while warning that the actual disputed plan starts at $36bn and needs 76.6%. Claude (October 18) rejects that annual-sales base given H1 revenue of $12.4bn RU. The scenario is replaced: $70bn as hypothetical 2027 sales requires 71.0% annual growth to 2030. H1 data do not mathematically prohibit $70bn full-year sales, but would require $57.6bn in H2; the exit target supplies no support for that assumption. Plan derivatives remain D, private revenue/valuation inputs C/RU; the claimed July deck date remains unverified (claims 4, 8, 40).

  • Supplier losses and governance: the original note stresses concentrated losses and says the board crisis demonstrates dependence on Altman's relationships. The cross-check treats personal dependence as inference and supplier loss as contingent on delivery, collateral, recovery and replacement tenants. The Foundation's control and Microsoft's receivable are directly disclosed; the guarantee cap is exposure, not expected loss. Both risk interpretations are recorded pending contract-performance and recovery evidence (claims 14–15, 19, 22, 49–50).

  • What constitutes overextension: Codex (October 17) favours testing durable returns on financed capacity after all costs over comparing an average Oracle bill with current run-rate. Claude (October 18) regards forecast deterioration (+$14bn to −$179bn, then disputed −$278bn cumulative 2026–30 cash flow), the dated funding gap and reliance on rising private valuations as sufficient to call OpenAI a highly fragile financing-dependent node. Both views agree on substantial demand, financing/execution risk and no demonstrated imminent default. The direct gap now complements the contract-scale sensitivity; neither review supplies a precise failure probability or definitive overvaluation finding (claims 20, 39–40, 52–56; Codex, Claude).

  • Deferral versus cancellation: Abilene's additional expansion reportedly ended while the broader Oracle agreement remained on track. Broadcom's ramp and Nvidia's revised equity plan are also insufficient to establish wholesale demand destruction. Signed amendments and payment changes would be stronger evidence (claims 21, 25, 38).

  • Adoption comparability and execution: the original note left the latest global user total unavailable; the cross-check identifies the September 29 company disclosure of 1.2bn weekly users. That statement is retained at A, while comparable measurement, paid conversion, retention and profit remain unavailable. Documented Astra development/release delays and training safeguards create execution risk; a model-specific GPT-6.1 Astra withholding report remains a follow-up lead, not a primary-confirmed release decision (claims 45, 48).

  • Liquidity basis and SoftBank follow-up: the end-2025 ~$25bn cash inference from reported ~$50bn assets conflicts with ~$40bn cash/securities; securities may explain the difference, but no balance-sheet bridge was fetched. Claude marked the OpenAI-share-backed loan’s closing unverified; SoftBank’s September 23 memorandum confirms $10bn drawn August 7 and describes cash-account security plus valuation-linked triggers, rather than simply a share pledge. Earlier negotiation reports remain C/RU; the disclosed financing is A (claims 36, 41).

  • Unverified: consolidated minimum purchase payments, termination penalties, contract overlaps, supplier-financed percentage, current API share, comparable seat/user measurement, realised ad revenue and current product margins, IPO price/date and any binding government backstop. Reported financing talks are not committed liquidity.

Payment extensions, credit reserves or cancellations explicitly linked to inability to pay, especially alongside failed funding, would be stronger evidence of realised financing failure. October supplier CDS and project-debt marks already show repricing along that warning channel; they do not establish an OpenAI-wide default (Signals below).
